The Knot Peace of Mind – Replacement Vendor Participation Terms

These The Knot Peace of Mind Replacement Vendor Participation Terms (“Vendor Participation Terms”) govern a vendor’s participation in The Knot Peace of Mind program (the “Program”). These Vendor Participation Terms supplement and are incorporated into The Knot Terms of Use and any applicable vendor agreement with The Knot Worldwide (“The Knot,” “TKWW,” “we,” “our,” or “us”). In the event of a conflict, these Vendor Participation Terms control with respect to the Program.

1. Program Overview

The Program is a complimentary support service intended to help Members to identify potential replacement Vendors if a Vendor they booked cancels services before their event date.

As part of the Program, The Knot may identify Vendors that The Knot believes may be suitable for a Member based on information provided by the Member to The Knot and information The Knot has regarding the Vendor, including but not limited to, information available on the Vendor’s storefront, communications with The Knot, availability information voluntarily provided by the Vendor, vendor category, location, services, pricing, reviews, or other information.

The Knot may contact a Vendor using the contact information associated with the Vendor’s account or otherwise maintained by The Knot to ask whether the Vendor wishes to be included in a list of potential replacement Vendors provided to a Member.

Participation in the Program is entirely voluntary. A Vendor is not required to participate in the Program or agree to be included as a replacement Vendor for any Member.

2. Vendor Eligibility and Selection

The Knot determines, in its sole discretion, which Vendors may be invited to participate in the Program and which Vendors may be presented to a Member as potential replacement Vendors.

The Knot does not guarantee that any Vendor will be contacted, selected, or presented to any Member through the Program. The Knot may consider any information available to it in determining whether a Vendor may be a potential fit for a Member’s stated needs.

3. Vendor Consent to Be Listed

If a Vendor agrees to participate in connection with a particular Member request, The Knot may include the Vendor’s business name, profile information, and contact information in a list of potential replacement Vendors shared with the Member.

A vendor may decline participation at any time before being shared with the Member.

Agreement to be included on a replacement vendor list does not obligate the vendor to provide services to the Member, enter into a contract with the Member, offer any particular pricing or availability, or continue discussions with the Member.

4. Direct Relationship Between Vendor and Member

If a Vendor agrees to be included on a replacement vendor list, the Member may contact the Vendor directly through or outside of The Knot marketplace.

Any communications, negotiations, contracts, payments, disputes, or services are solely between the Vendor and the Member. The Knot is not a party to any agreement or transaction between the Vendor and the Member and does not book Vendors, process payments for Vendor services, or guarantee that any engagement will occur.

The Vendor retains sole discretion regarding whether to respond to, negotiate with, or enter into an agreement with any Member.

The Knot is not responsible for the conduct of any Member or Vendor, including, without limitation, a Member's failure to pay for services, harassment, abusive communications, or other misconduct directed at a Vendor, or a Vendor's decision to decline, discontinue, or cancel an engagement with a Member for any reason, including concerns about a Member's prior conduct. A Vendor's decision whether to engage with a Member, including a Member whose prior Vendor relationship ended due to nonpayment, harassment, or similar concerns, remains solely within that Vendor's discretion. The Knot has no obligation to investigate, disclose, or protect a Vendor from any Member conduct, and assumes no liability for any dispute, loss, or claim arising from the Member-Vendor relationship.

5. Sharing Member Information

In connection with the Program, The Knot may share limited information provided by a Member with a Vendor that agrees to be considered as a potential replacement Vendor. Such information may include the Member’s names, event date, event location, requested services, budget information, style preferences, and other information relevant to evaluating the Vendor’s potential fit, availability, or interest in providing services.

The Vendor may use such information solely for the purpose of evaluating and responding to the Member’s potential request for services and in accordance with applicable law and The Knot Terms of Use. The Vendor must not use such information for any unrelated purpose.

The Knot does not guarantee the accuracy, completeness, or availability of any information provided by a Member.

The Knot has no obligation to research, verify, or disclose to a prospective replacement Vendor the reasons a Member's prior Vendor relationship ended, including whether it involved nonpayment, harassment, or other Member conduct, and assumes no liability for any decision by a Vendor to engage with a Member made without that information. A Vendor that participates in the Program does so with the understanding that The Knot may not have, and is under no obligation to obtain or share, any history regarding a Member's conduct toward other Vendors.

6. No Guarantee; No Endorsement

Participation in the Program does not guarantee any leads, bookings, compensation, revenue, or business opportunities.

The Knot does not guarantee the accuracy or completeness of information provided by Members and does not verify a Member’s intent, budget, preferences, or ability to enter into an agreement.

A Vendor’s inclusion in the Program does not constitute an endorsement, certification, warranty, or recommendation by The Knot.

7. Vendor Responsibilities and Compliance

Vendors participating in the Program remain solely responsible for: (a) complying with all applicable laws, regulations, licensing requirements, permits, and professional obligations; (b) maintaining any insurance coverage applicable to their business or services; and (c) performing any services provided to Members in accordance with the Vendor’s agreements and legal obligations.

The Knot does not supervise, direct, control, or guarantee any Vendor services and is not responsible for a Vendor’s compliance with applicable legal, regulatory, licensing, or insurance requirements.

8. Program Changes and Discontinuation

The Knot may modify, suspend, or discontinue the Program or these Vendor Participation Terms at any time in its sole discretion without notice.

Continued participation in the Program following any update constitutes acceptance of the updated Vendor Participation Terms.

9. Governing Terms

These Vendor Participation Terms are incorporated into The Knot Terms of Use and any applicable vendor agreement between the vendor and The Knot. Except as expressly stated herein, all such agreements remain in full force and effect.
